Terms of Service

1. Acceptance of Terms

By accessing or using VGraple CRM at vgraple.co.in, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the service. These terms govern your use of the VGraple CRM platform operated by VGraple.

2. Service Description

VGraple CRM is a WhatsApp Business API platform that enables businesses to manage customer conversations, automate messaging workflows, send broadcast campaigns, and analyse performance. The service is provided on a subscription basis as described on our Pricing page.

3. Account Registration

You must register for an account to use VGraple CRM. You agree to provide accurate, complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorised use at [email protected].

4. Acceptable Use

You agree to use VGraple CRM only for lawful purposes and in compliance with Meta's WhatsApp Business API Terms of Service. You must not:

• ⬢ Send spam, unsolicited messages, or harassing content
• ⬢ Use the platform to send messages without proper opt-in consent from recipients
• ⬢ Distribute malware, phishing content, or fraudulent material
• ⬢ Attempt to reverse engineer, copy, or create competing products from our platform
• ⬢ Violate any applicable laws, regulations, or third-party rights

5. Subscriptions and Billing

Subscription fees are paid in advance, monthly or annually, for the plan selected. The fees are those shown on the pricing page when you pay.

Fees for customers in India are stated in Indian rupees and are inclusive of GST. Fees for customers outside India are stated in US dollars with no Indian GST, and any taxes due in the customer's own country are the customer's responsibility. The currency follows the billing details you save in your account and is fixed after your first payment.

Plans for customers in India are prepaid: each billing period is paid for when it is due, and nothing is debited automatically. Plans for customers outside India are paid by card and renew automatically until cancelled.

Every payment produces a tax invoice, which is emailed to the invoice email addresses in your billing details, or to the workspace owner, and is available in the app under Settings, Billing.

AI credits are non-refundable and expire as described on the pricing page.

WhatsApp Business API conversation charges from Meta are separate from VGraple CRM platform fees and are governed by Meta's pricing structure.

6. Refunds

You may ask for a full refund of an annual plan within 14 days of the first annual payment. Otherwise fees are not refunded for part of a billing period, on monthly or annual plans, except as required by applicable law.

Monthly plans can be cancelled at any time and do not renew. AI credits are non-refundable.

Every refund is issued with a credit note against the original invoice, emailed in the same way as an invoice. To ask for a refund, write to us in Support in the app or email [email protected].

7. Cancellation

You may cancel your subscription at any time from your account settings. Access to the platform continues until the end of the current billing period. After cancellation your workspace moves to the Free plan and nothing in it is deleted: your contacts, conversations and settings stay as they are, within the Free plan's limits. Your data is deleted only if you delete the workspace yourself from your account settings. A deleted workspace can be restored for 14 days; after that it is permanently erased within 30 days. Tax invoices we have issued are kept for as long as Indian tax law requires.

8. Intellectual Property

VGraple CRM and all associated software, designs, and content are owned by VGraple and protected by intellectual property laws. You retain ownership of all customer data and content you upload to the platform. You grant us a limited licence to process that data solely to provide the service.

9. Disclaimer of Warranties

VGraple CRM is provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free operation of the service. We are not responsible for the availability of the WhatsApp Business API, which is controlled by Meta Platforms, Inc.

10. Limitation of Liability

To the maximum extent permitted by law, VGraple shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability to you shall not exceed the fees paid by you in the three months preceding the claim.

11. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.

12. Sanctions

The service is not offered to persons or countries subject to sanctions of India, the United Nations or the United States.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notice. Continued use of VGraple CRM after changes constitutes acceptance of the revised Terms.
