1. Acceptance of Terms

By accessing or using VGraple CRM at vgraple.co.in, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the service. These terms govern your use of the VGraple CRM platform operated by VGraple.

2. Service Description

VGraple CRM is a WhatsApp Business API platform that enables businesses to manage customer conversations, automate messaging workflows, send broadcast campaigns, and analyse performance. The service is provided on a subscription basis as described on our Pricing page.

3. Account Registration

You must register for an account to use VGraple CRM. You agree to provide accurate, complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorised use at [email protected].

4. Acceptable Use

You agree to use VGraple CRM only for lawful purposes and in compliance with Meta's WhatsApp Business API Terms of Service. You must not:

• ⬢ Send spam, unsolicited messages, or harassing content
• ⬢ Use the platform to send messages without proper opt-in consent from recipients
• ⬢ Distribute malware, phishing content, or fraudulent material
• ⬢ Attempt to reverse engineer, copy, or create competing products from our platform
• ⬢ Violate any applicable laws, regulations, or third-party rights

5. Subscriptions and Billing

Subscription fees are billed monthly or annually in advance as per the plan selected. All fees are exclusive of applicable taxes. Refunds are not provided for partial billing periods, except as required by applicable law.

WhatsApp Business API conversation charges from Meta are separate from VGraple CRM platform fees and are governed by Meta's pricing structure.

6. Cancellation

You may cancel your subscription at any time from your account settings. Access to the platform continues until the end of the current billing period. After cancellation, your data is retained for 30 days before permanent deletion, unless you request immediate deletion.

7. Intellectual Property

VGraple CRM and all associated software, designs, and content are owned by VGraple and protected by intellectual property laws. You retain ownership of all customer data and content you upload to the platform. You grant us a limited licence to process that data solely to provide the service.

8. Disclaimer of Warranties

VGraple CRM is provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free operation of the service. We are not responsible for the availability of the WhatsApp Business API, which is controlled by Meta Platforms, Inc.

9. Limitation of Liability

To the maximum extent permitted by law, VGraple shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability to you shall not exceed the fees paid by you in the three months preceding the claim.

10. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notice. Continued use of VGraple CRM after changes constitutes acceptance of the revised Terms.
